2.以下这个案例是笔者制作的英文合同中的不可抗力条款。首先对不可抗力进行定义：
“Force Majeure” means :Circumstances beyond the control of the Party affected, including, but not limited to an Act of God, strike, lockout or other industrial disturbance, accident, act of the public enemy, war (whether declared or not), sabotage, blockade, revolution, public riot, lightning, fire, storm, flood, drought, earthquake, landslide, explosion, governmental restraint or action, shortage or unavailability of equipment, material or labour or restrictions thereof or limitations upon the use thereof, delays in transportation caused by anyone of the aforementioned circumstances and any other cause whether of the kind specifically enumerated above or otherwise which is not within the control of the Party affected by such event.
（不可抗力事件：为受影响的一方所无法控制的情形，包括但不限于自然的不可抗力、罢工、停工(企业主为抵制工人的要求而停工)或其他的工业上的滋扰和事故、公敌行为、战争（不管有无声明）、阴谋破坏、封锁、革命、公众骚乱、闪电、火灾、风暴、水灾、旱灾、地震、山体滑坡、爆炸、政府管制或行动，设备出现故障而不能使用，材料和劳动力的短缺、或受限，由上述任一原因或其他受影响方无法控制的原因而导致的延期装运。）
接着约定不可抗力事件发生后的通知：
The Party affected by an Event of Force Majeure shall provide the other Party with full details as soon as he becomes aware of the Event of Force Majeure, including a best estimate of the likely extent and duration of the interference with his activities. The affected Party will take all steps, which are commercially reasonable under the circumstances to overcome the effects of the Event of Force Majeure and to resume performance of his obligations under this Agreement.
（发生不可抗力后，受影响的一方应当尽快将详细情况告之另一方，这些情况还包括对不可抗力可能影响的范围和持续的时间所作的最佳评估。受影响方有义务采取商业上合理的各种措施克服不可抗力事件的影响，并恢复本合同的履行。）
接着规定不可抗力出现后的处理：
Neither Party shall be liable to the other for damages caused by the failure or delay in fulfilling any obligation under this Agreement if such failure is caused by an Event of Force Majeure. The affected Party may suspend performance of this Agreement, during the period of an Event of Force Majeure. An Event of Force Majeure, which has occurred prior to the formation of the Agreement, shall give a right to suspension only if its effect on the performance of the Agreement could not have been foreseen at the time of the formation of the Agreement.
（由于不可抗力造成一方当事人无法履行或迟延履行本合同义务时，该方当事人可以免责；在不可抗力期间，受影响的一方当事人在不可抗力发生期间可以暂停履行本合同。若不可抗力事件在本合同签定前已发生，且其对本合同的履行的影响在签定合同时无法预见，有权暂停。）
