摘 要 公司法人人格的本质是指公司作为法律上独立主体所基于的内在根本属性。自法人学说创立之日起，有关法人人格本质的争论就从未休止过。而近代以来，公司成为最重要的一种法人类型，对公司法人人格本质的思考就显得十分重要和紧迫。在这里，我们从民事主体尤其是法人的历史变迁出发，在经典法学家对法人认识的基础上，将公司法人人格的本质归纳为经法律拟制而确认的独立的结构体，并在此问题的启发和引导下，讨论了法人人格价值及公司法人人格否认制度等问题，借以加深对法人制度的认识。 关键词 法人人格 公司法人人格 法人人格价值 公司法人人格否认
