国美控制权之争已落下帷幕，从此次事件我们对公司治理又有了更新更深的认识。本文试图从公司治理角度观察研究国美此次控制权的争夺：首先对国美电器公司性质与特点进行定位，然后简要概述公司治理制度，重点关注股东、董事会、管理层权力配置和制衡，然后就黄光裕和陈晓之间的控制权争夺着重进行分析，最后得出对国美控制权之争的启示。

Abstract
Gome’battle for control has been over,we have a newer and more profound understanding about corporate governance from this event.This paper is trying to observe and reseach Gome’battle for control from the corporate governance perspective:firstly,I’ll introduce something about Gome Appliance,concluding its character and peculiarity.Secondly,I’ll summarize in brief the corporate governance system,especially pay a close attention to checking and banlancing power among shareholders，board of directors and management .Thirdly,I’m going to stress this battle for control between Huang guangyu and Chen xiao,and then draw a enlightment about Gome’battle for control.
