摘 要：在当今这个经济全球化的时代，并购是企业扩大规模最有效的途径之一。然而，企业要想发展壮大必须使财务风险最小化，注重风险的防范。文章从当前企业并购现状的研究出发，在了解企业并购的概念和并购中财务风险的种类之后，分析了财务风险的产生原因，对企业并购风险的防范提出了几点建议以期能降低企业并购中财务风险。通过改善信息不对称状况，大力发展中介机构来降低定价风险；通过从时间和数量上保证并购资金的取得，增强杠杆收购中目标企业未来现金流量的稳定性来降低支付风险；通过分析融资中股权稀释风险的应对，根据资产负债的结构调整匹配关系来降低融资风险；还要通过双方之间的融合交流来降低并购后的整合风险；此外，还要明确并购动机，知己知彼，发挥政府职能，这样企业并购中的财务风险才能降到最小。

Abstract:In such an economic globalization era, enterprise is developing continuously as an economic carrier, and mergers & acquisition is the most effective method to enlarge the scale of the enterprise. However, the final goal of any enterprise is to maximize the interest, and in order to realize such goal, the financial risk should be minimized and prevented. Article starting from the study of the current status of mergers and acquisitions, in understanding the concept of mergers and acquisitions and mergers and acquisitions after the kinds of financial risk, analyzes the causes of the financial risk, to put forward several proposals to the merger and acquisition risk prevention in order to can reduce financial risk in enterprise mergers and acquisitions. By improving the asymmetric information situation, vigorously develop intermediary institutions to reduce the price risk; Through from the time and the number of guarantee of acquisitions, enhance the stability of the future cash flow of the leveraged acquisition target enterprise to reduce the payment risk; Through the analysis of the response, of dilution in the financing risk adjusted according to the structure of assets and liabilities matching relations to reduce the financing risk; But also by the fusion of communication between the two parties to reduce the integration after
