供应商应向深圳市**量贩店商品部提供中国法律和法规（包括全国性和地方性）所要求的所有有效许可证明书、批准及任何其它证明文件，以证实供应商业务活动的合法性。
THE Supplier shall provide Merchandise Division with all valid licenses, certificates approvals and any other supportive documents as required by Chinese laws and regulations (national and local),evidencing the supplier is lawful practice of business.
作为对保护供应商、深圳市**量贩店和对深圳市**量贩店的客户利益所需的此种义务的提示, 深圳市**量贩店准备了下列未穷尽的清单,但双方明确,供应商已在供应合同中承担了提供任何必要文件（即使在下述清单中没有提及)的全部责任.
As a reminder of such obligation necessary for the protection of the supplier, of DAFUHAO and of DAFUHAO customers, DAFUHAO prepared the following non-exhaustive checklist, it being understood that the Supplier has taken full responsibility under the Supply Contract to submit any necessary document, even if not mentioned hereunder.

无论出售什么商品,供应商应向深圳市**量贩店提供下列有效文件:
Whatever the goods to be sold, the Supplier shall provide DAFUHAO with the following valid documents:
1. 供应商的营业执照复印件(A copy of the Business License of the Supplier)
2. 税务登记证(地方和国家的)复印件(A COPY OF THE Tax Registration

供应商应在保涵中保证其依照法律和法规行事,因商标未注册的事实(如,因第三方注册此商标后,**量贩店被迫终止该产品的销售)而引起的任何损失或损害均由供应商向**量贩店做出充分补偿.The Supplier shall warrant in this Guarantee Letter that it is acting in accordance with laws and regulations, and that any loss/damage related to the fact that the trademark has not been registered (for example if WM is forced to stop sales of a said product after registration of the related trademark by a third party) shall be fully compensated to WM by the Supplier.

深圳市**量贩店的员工拒绝任何的商业贿赂行为。作为深圳市**量贩店的供应商，若被发现供应商以任何形式的商业贿赂深圳市**量贩店任何员工，以企图获得订单、更有利的价格或更短的付款期等情况时，深圳市**量贩店将立即停止与其的供货关系。若任何深圳市**量贩店员工以不正当方式要求供应商给予任何商业贿赂，供应商有责任以书面的形式及提供相关证据给深圳市**量贩店人事行政部（E-mail: ） 。
1． 贿赂包括但不限于下述范围：
任何礼品、小费、现金、样品、娱乐活动票券、现金或商品形式的回扣、给某个员工特别的折扣或任何样品、供应商支付的旅行、节日礼物或餐饮等形式。凡上述馈赠，将会被退回，所需费用由对方承担。
2． 关于员工收取回扣的行为另有以下规定：
（1） 如贵公司为达成购销合同或其他业务经营等商业目的而私下夏管我深圳市
**量贩店员工赠送回扣的，一经我方查实，我方有权视情况终止执行双方购销合同，或要求贵公司交纳按回扣金额10倍以上的罚款作为违约金，该违约金我方有权直接从乙方的货款中扣除，贵公司不得有任何异议；
（2） 贵公司对我方员工以个人名义索要回扣的，如没有及时向我方检举，随公
司也将受到处罚。我公司除对索要回扣的个人严肃处理以外，并同时有权参照以上规定对贵公司进行制裁；
（3） 如本公司员工在接受回扣8小时以内主动将回扣上交，则视为主动检举，
公司将对厂商罚款的50%作为奖励发放给检举人员，并对检举人员保密；
（4） 关于回扣的定义：包括但不限于现金、礼物、请客吃饭等;
（5） 如回扣所估金额达到刑法规定之金额，本公司则按行贿受贿之嫌移交司法
机关进行处理。
3． 供应商投诉热线：
为了保障供应商的利益，深圳市**量贩店设有供应商投述热线。关于上述原则适用于深圳市**量贩店所有员工。如发现本公司员工出于个人利益向供应商索取任何个人报酬，请直接通过供应商投述热线直接告知本公司高层领导。
