业为支柱,具有产业集群特征,富有特色的块状经济模式。浙江全省工业总产值的81.1%、工业增加值的83.3%、外贸出口的81.6%、财政税收的82.9%、劳动就业的90.1%都来自中小企业。中小企业已在真正意义上成为了浙江经济发展的生力军、自主创新的发动机和吸纳就业的蓄水池。支持中小企业发展,是保持和强化浙江区域经济竞争力的战略性举措。为应对国际金融危机影响,浙江省加快经济发展方式转变的步伐明显加快。这也给浙江中小企业的发展提出了新的课题,制约中小企业发展的一些结构性、素质性、体制性的问题亟待解决。为贯彻落实国务院去年9月发布实施的《关于进一步促进中小企业发展的若干意见》,浙江省政府及时出台了《关于促进中小企业创业创新发展的若干意见》,提出了由数量大省向素质强省转变的浙江中小企业战略目标,并就鼓励创业促发展、支持创新促升级、改善融资环境、强化社会化服务和加强政策扶植和指导等内容提出了
具体措施。后金融危机时代,浙江中小企业发展面临着新的机遇。 浙江各级法院审理的商事案件中,涉中小企业案件占有绝对比例。2007年全国民商事审判工作会议以来,在最高法院的监督指导下,浙江各级法院努力践行“三个至上”工作指导思想,坚持“为大局服务,为人民司法”工作主题,强化能动司法理念,践行司法为民宗旨,围绕省委“创业富民、创新强省”的总战略,充分发挥商事审判职能,在应对国际金融危机影响和加快经济发展方式转变过程中,为中小企业司法保障作了大量的工作,积累了有益的经验。

二、落实具体措施
提升中小企业司法保障工作水平的具体措施,也主要围绕着前述四个工作重点展开:
在营造诉讼诚信机制方面:体现为实体法领域的诚信契约和诉讼法领域的诚信诉讼,两者共同构成了作为法律精神的普遍原则——诚实信用原则的整体内涵。金融危机在一定意义上说就是信用失败,国际金融危机背景下的商事案件,暴露出现阶段市场经济条件下诚信理念的缺位和诚信机制刚性约束的缺乏。如杭州建德法院在2008年1-10月就受理了117件出现企业主逃匿现象的涉企案件,杭州萧山法院2008年7-9月仅一个季度就受理因14家企业法定代表人逃逸引发的各类案件1986件。在浙江省法院审理的包括涉中小企业案件在内的各类民商事案件中,虚假诉讼是一个比较突出的问题。为此,浙江高院在2008年出台了《关于在民事审判中防范和查处虚假诉讼案件的若干意见》,对规范民商事审判中的诉讼秩序起到了积极作用。浙江高院提出,要在建设“信用浙江”的背景下,努力营造诉讼诚信机制。要强化意思自治观念,通过司法活动防范转嫁商业风险的不诚信行为。要严格把握适用情势变更原则的适用条件。要通过诉讼指挥权的妥当行使,加强释明工作,引导当事人和代理律师诚实举证,防止把法庭作为纯粹的诉讼竞技场。要以法官自身公正的形象,树立司法权威,提高裁判的公信力。
在依法推动金融创新方面:融资难是制约浙江中小企业发展的主要瓶颈,国际金融危机背景下,如何看待金融创新,成为一个有争议的问题。省委赵洪祝书记在2009年2月召开的全省金融工作座谈会上指出,只有在金融过度创新和缺乏有力监管的情况下,金融创新才可能引发金融危机。就目前浙江的金融市场实际而言,仍处于金融创新不足的阶段。这一判断,为正确把握金融创新和司法规制相互关系提供了依据。浙江高院及时提出要通过司法的适度介入和保障作用,在法律允许的框架内,支持浙江金融改革和金融创新的发展,增强“浙银品牌”、“浙江板块”等实力。金华、嵊州法院还专门就规范民间融资行为,拓宽农民及中小企业主融资渠道等问题,向当地党委政府提出了专题报告和建议,并出台了保障中小企业融资环境,支持金融创新的规范性文件。嘉兴、绍兴等地法院统一企业之间借款纠纷案件的审判尺度,依法保护因企业之间借款形成的债权关系,充分考虑当前银根紧缩、企业融资困难的实际,除判令债务人归还本金外,还判令其赔偿相应的银行利息损失,如当事人不存在其他违法情形的,不再适用追缴等民事制裁措施。
在服务企业转型升级和稳步推进破产审判工作方面:在应对金融危机前期,浙江法院更多地采用集中管辖手段化解企业资金链风险,同时,在审理金信信托、浙江海纳、南望集团破产重整案件中也积累了初步的经验。去年6月,最高法院发布《关于正确审理企业破产案件为维护市场经济秩序提供司法保障若干问题的意见》,浙江法院积极贯彻《意见》精神,结合浙江实际,适时提出“稳步推进破产审判工作”的要求,特别关注通过破产和解、重整案件的审理,推进经济发展方式调整下的企业转型升级。今年年初,省高院发布了《关于审理涉财务风险企业债务纠纷案件若干问题的指导意见》,就包括破产案件在内的涉企业财务风

Was carried out to \险债务案件的审理原则、涉企业债务纠纷案件中民间借贷利息保护标准、破产案件审理中关联企业合并重整、担保链风险的化解、发挥债权人会议和管理人的作用等问题提出了指导意见。去年底到现在,陆续出现了一批审理效果好的破产案件典型案例:去年底,绍兴中院以合并破产方式,审结了备受关注的纵横集团及其关联企业破产重整案,化解了企业担保链风险;新昌法院审理的金利公司破产和解案,积极尝试运用和解手段化解债务危机,通过引导两主要债权人投资接盘的方式,促成债务人与债权人逐个自行和解,至今年4月底和解协议全部履行完毕,实现了“留住企业、资产优化、保障债权、安定员工”的多赢局面。浦江法院今年6月审结的天听纸业破产重整案,尝试采用“债转股”重整计划,并通过重整进行生产要素重组,目前企业恢复生产后已实现利润446万余元。宁波中院在审理百联公司破产重整案中,在受理该企业破产清算申请后,法院积极促成战略投资者介入重组企业,谈判成功后,案件以债权人撤回破产清算申请结案,探索出了在破产清算程序中实现企业重组的新路径。浙江法院审结的破产重整案件,重整方案都是由债权人会议高票通过的,迄今尚无一例需要法院强制批准,也没有出现因案件审理中处置不当引发群体性事件等不良后果的事例。
三、拓展审判职能
1.拓展保障范围。通过系统调研分析,总结辖区内中小企业特点,以促进中小企业转型升级等为目的,积极探索形式多样的司法保障举措。如奉化法院今年4月对2009年审理的涉企案件基本情况进行了梳理分析,形成涉企案件调查报告,以“白皮书”形式报送市委、市人大和市政府,同时抄送当地主要金融机构及相关企业。“白皮书”对买卖承揽、金融借贷等高发的涉企商事案件特点、成因进行了详细分析,并逐一提出改进建议。慈溪法院在受理涉企债务案件后采取走访企业、走访企业所辖工商部门以及走访所在地乡镇、街道等“三走访”,了解其经营状况和发展前景,并按经营能力的高低采取不同的审判对策等措施。针对案件审理中遇到的困难特别是对可能影响社会稳定的案件,及时向党委汇报、与政府沟通,做好稳控及矛盾化解工作。一些法院还在建立健全委托调解制度,化解涉中小企业纠纷等机制建设上作了尝试,如温州中院今年6月份出台了《关于民商事纠纷委托行业协会调解的意见》,就行业协会参与民商事纠纷调解工作提出了操作性较强的意见,对有效化解涉中小企业纠纷也将起到一定作用。
2.开展法律服务。以加强诉讼指导和风险释明力度,组织法官定期深入涉诉企业走访调研,举办法律讲座、案例研讨、现场答疑、诉讼指导等,帮助涉诉企业增强抵御金融风险能力和维权意识,积极引导其依法管理、规范经营,并结合审判实践就涉诉企业规范经营、拓宽融资渠道、化解债务危机等问题向有关方提出司法建议。去年7月,高院民二庭庭长还做客《浙江在线》,就金融危机背景下涉企业案件审判的相关问题与网民作互动交流。
3.强化风险控制。全省各级法院通过审理涉中小企业案件,及时发现其中的经营风险,并通过预警提示等措施,从源头环节发现并控制涉诉企业风险,达到尽早发现和及时处置企业风险的目的,以最大限度减少纠纷和损失。如今年开始象山法院就建立了以加强中小企业司法服务为目的的涉企案件风险预警机制,规定涉诉企业年涉案件数达10件以上、涉诉企业资不抵债可能导致企业破产、涉诉企业管理混乱可能造成较大损失、涉诉企业违法经营可能造成严重后果等10种情形应及时向党委及政府主管部门作出风险预警,采用编制司法审查或调查报告、作出预警报告、进行风险提示、制发司法建议等四种预警方式。兰溪法院在

四、开展专项调研
在中小企业司法保障工作中,浙江高院非常注重调研工作,通过扎实细致的调研,为司法决策提供依据,指导全省商事审判工作实践。为总结商事审判应对金融危机的经验,浙江高院将“国际金融危机背景下企业解困对策研究”列入2009年全省重点调研课题,由时任副院长童兆洪主持、高院民二庭牵头开展调研。调研课题结题后,相关调研成果分别在《法律适用》及《人民法院报》上介绍,并作为制定《关于审理涉财务风险企业债务纠纷案件若干问题指导意见》的实证依据。
国务院《关于进一步促进中小企业发展的若干意见》和省政府《关于促进中小企业加快创业创新发展的若干意见》出台前后,省高院党组敏锐地关注经济发展方式转变背景下浙江中小企业发展面临的机遇和挑战,适时跟进司法保障措施。今年3月12日,全国人大代表、省高院院长齐奇同志在十一届全国人大三次会议的专题发言中,呼吁要更加重视依法保障中小企业、特别是小企业的发展;要关注当前中小企业发展面临的困难,进一步配合国务院“29条”和省政府“40条”实施意见的落实。省高院确定将“中小企业司法保障”作为2010年的重点调研课题,在院长齐奇主持下,由高院民二庭牵头,温州中院、金华中院和平湖法院共同参与开展调研工作。调研课题组先后前往宁波、温州、绍兴、金华和嘉兴等地调研,征询了政府部门、专家学者、行业协会和中小企业经营者对司法保障中小企业发展的意见和建议。4月27日,省高院与省经济和信息化委员会、省中小企业局联合召开“中小企业发展与司法保障座谈会”,邀请了政府部门、专家学者、金融机构及企业、行业协会代表等40余人参加。省政府金德水副省长专程到会,他在讲话中指出,浙江经济在中国各省份位居第四,而中小企业占据浙江经济99%以上份额,制定中小企业司法保障的指导意见具有现实意义和长远的战略意义,有利于中小企业更快更健康发展,使浙江真正成为中小企业发展沃土。高院民二庭电子版业务指导资料《商事审判动态》还连续刊载中小企业发展的背景材料、各地中小企业司法保障的经验和典型案例,指导商事审判中小企业司法保障的实践。日前,《关于为我省中小企业创业创新发展提供司法保障的调研报告》已经结题。
五、制定指导意见
在开展“中小企业司法保障”调研的同时,浙江高院结合调研情况积极筹划中小企业司法保障指导性意见的起草。经院党组讨论通过,于今年5月28日正式发布了《关于为中小企业创业创新发展提供司法保障相关问题的指导意见》。《指导意见》共12条,首先明确了中小企业司法保障工作的指导思想和工作原则,要求各级法院依法保障扶持中小企业发展的各项政策措施的落实,不断优化中小企业市场环境、融资环境和政务环境,为实现我省从中小企业数量大省向素质强省转变的发展目标提供有力的司法保障;坚持依法合规原则,平等保护原则,调解优先原则和统筹协调原则。《指导意见》指出要在商事审判工作中依法支持

《指导意见》出台后,先后得到最高法院、省委领导的重视与肯定,《人民法院报》在头版头条以“浙江高院做护航人更做领航人”为题作了专题报道并配发短评。今年6月8日,浙江高院下发《关于认真学习贯彻赵洪祝、吕祖善同志重要指示精神,切实落实省高院依法保障中小企业创业创新发展指导意见的通知》,就贯彻落实领导指示、把《指导意见》落到实处等提出了三方面要求。
六、跟进后续工作
《指导意见》明确了中小企业司法保障的工作原则、目标和重点。各地法院结合《指导意见》精神,强化了中小企业司法保障工作。浙江高院民二庭也按照院党组的统一部署,努力抓好商事审判条线中小企业司法保障工作的指导和监督。典当行是主要为个人和中小企业提供融资服务的专业机构,为规范典当行业的经营秩序,平等保护当户、典当行的合法权益,发挥典当行业为中小企业提供融资服务的积极作用,浙江高院于今年6月29日出台了《关于审理典当纠纷案件若干问题的指导意见》。
今年6月29日,最高法院发布了《关于为加快经济发展方式转变提供司法保障和服务的若干意见》。浙江各级法院将按照《若干意见》的要求,紧密联系浙江实际,在深入推进社会矛盾化解、社会管理创新、公正廉洁执法三项重点工作中,进一步提高商事审判工作中中小企业司法保障工作的自觉性、针对性和实效性,虚心学习兄弟法院的先进做法和经验,从认真总结经验、细化工作举措、构建长效机制等方面入手,进一步提升中小企业司法保障的司法能力和工作水平。
