APPOINTMENT任命

Minimum Business Volume：The Distributor promises to purchase “EVG” brand products from EVG within the sales agency period. At the beginning of each year, based on the previous years’ sales situation, local market situation and the
distributor’s strength, EVG will adjust the distributor’s yearly minimum business volume and marketing strategy. Both parties negotiate to assign the supplementary agreement at the beginning of each year (annexed to this agreement as Schedule 4). Upon discussions by the Parties, obtain and maintain all necessary consents, permits, licenses, permissions, approvals and authorizations as are necessary or as will become necessary for the due execution and performance of this agreement and comply with all conditions of such consents, permits, licenses, permissions, approvals and
authorizations and all applicable laws, regulations, decrees and other governmental rules, including without limitation, those against unfair business conducts or corruption, in the performance of this agreement; and双方协商取得和维持所有为妥善签订和履行本协议所必需或将必需的同意、准许证、许可证件、准许、批准和授权，并符合取得上述同意、准许、许可证件、许可证、批准和授权所要求的条件和为履行协议而应遵守的法律、规章、法令和其他政府条例，包括但不限于反不正当行为或腐败的相关法规；

SUPPLY OF PRODUCTS产品的供应
The Distributor shall give EVG one (1) months' notice in writing of its forecast of the quantities of each type of Product that it expects to buy from EVG for delivery in a four (4)-month period. 分销商应该提前1个月将其预计在未来四个月期间从****订购并由****交付的每种类型产品的预测数量书面告知****。
EVG undertakes to use all reasonable efforts to meet all orders for the Products forwarded to it by the Distributor in accordance with EVG's terms of delivery to the extent the orders do not exceed the forecast for each type of Product given under

All Products shall be shipped to the Distributor's designated address to be provided by the Distributor in writing. The terms of shipment and delivery of the Products shall be determined by the Parties through negotiation in good faith and set forth in a supplementary agreement. On giving one (1) months' notice in writing to the Distributor, EVG may vary

EVG may make changes to the spefications of the Products, provided the changes do not adversely affect the quality of the Products. PRICES AND PAYMENT 价格和付款
The prices to be paid by the Distributor to EVG for the Products are to be determined by the Parties through negotiation in good faith. The quantity, price and shipping condition for the item(s) specified in this agreement shall be confirmed in each deal and specified in detail in the sales contract signed by both parties each time. For the avoidance of doubt, the amount charged by EVG for the Products only represents the consideration for the sale of the Products by EVG to the Distributor and does not include any other fees.分销商向****支付的产品的价格须由协议方基于诚信原则协商确定，并且，本协议所规定商品的数量、价格及装运条件等，应在每笔交易中确认，其细目应在双方每次签订的销售合同中作出规定。为避免歧义，****收取的产品价款仅包括****向分销商销售产品的价格，而不包含其它任何费用。
