The Distributor shall 分销商:

not make any written statement as to the quality or manufacture of the Products without the prior written approval of EVG. 未经****的事先书面批准，不得对产品的质量或生产发表任何声明。

EVG shall make reasonable commercial efforts to participate with the Distributor in fairs, exhibitions and similar events in the Territory, but shall be under no obligation to do so unless such participation is agreed by the Parties in writing sufficiently in advance of each event to enable proper preparation by the Parties. ****应作出合理的商业努力与分销商共同参加区域内的展会、展览和类似活动，但是并没有义务这样做，除非这种参与是协议方在每次活动之前以书面形式约定，以确保协议方能够为该活动做好准备工作。
COMPLIANCE WITH LAWS AND REGULATIONS 合规性要求
The Distributor warrants to EVG that it shall inform EVG of all laws and regulations affecting the manufacture, import, marketing, sale, packaging and labelling of Products which are in force within the Territory or any part of it (\Local
Regulations\) prior to the export of the Products. 分销商应在产品出口前告知****所有与在区域内生产、进口、营销、销售、包装产品以及制作产品标签有关的所有法律法规（当地法规）。
The Distributor shall be responsible for, and shall make its best efforts in, obtaining any necessary registration, licences or permits required by the Local Regulations in relation to the entry of the Products into and sales of the Products within the Territory, including without limitation, import license, product registration, product inspection certificate, distribution and sales permits, or any other regulatory requirements of similar nature (\Regulatory Compliance\
participate in and provide necessary assistance to the Distributor's performance of its obligations under this clause 9.1. This agreement may be terminated in accordance to clause 13.4(a) if the Distributor fails to perform the Regulatory Compliance
obligations under this clause 9.1 for reasons other than the Distributor's negligence or

The Parties shall discuss and determine the completion of the customs clearance procedures in relation to the importation of the Products into the Territory as well as the bearing any customs duties, clearance charges, taxes, brokers' fees and other amounts payable in connection with the importation and delivery of the Products. 双方协商如何完成与产品进口到区域有关的海关清关手续，并承担关税、清关费用、其他税费、代理费用以及其他与进口及交付产品相关的应付款项。 EVG, in turn, warrants to the Distributor that the Products comply with the relevant laws and regulations of People's Republic of China (hereinafter referred to as \in force at the date of this agreement. ****向分销商保证，产品符合在本协议生效日有效的中华人民共和国的相关法律和法规。
The Distributor shall give EVG as much advance notice as reasonably possible of any prospective changes in the Local Regulations. 分销商应当在合理的情况下，提前通知****当地法规的变化。
On receipt of notification from the Distributor under clause 9.5, EVG shall make its best efforts to ensure that the Products comply with any change in the Local
Regulations by the date of implementation of that change or as soon as is reasonably possible afterwards. comply with, and procure its employees, agents, sub-distributors, representatives and all others doing business on behalf of the
Distributor to comply with, all applicable laws, regulations, decrees and other governmental rules relating to anti-bribery and anti-corruption. Any breach of the obligations under this clause 10.1 by the Distributor shall entitle EVG to terminate this agreement in

EVG hereby grants to the Distributor the non-exclusive right, in the Territory, to use the Trade Marks in the promotion, advertisement and sale of the Products, subject to, and for the duration of, this agreement. The Distributor acknowledges and agrees that all rights in the Intellectual Property shall remain in EVG, and that Distributor has and will acquire no right in them by virtue of the discharge of its obligations under this agreement, except for the right to use the Trade Marks as expressly provided in this agreement. ****授予分销商在区域内根据本协议的要求，在本协议有效期间，在产品的促销、广告和销售中非独家的使用商标的权利。分销商承认并同意****拥有所有的知识产权，且分销商没有也不能通过履行本协议项下的义务而取得除本协议明确规定的商标使用权以外的任何该项权利。
The Distributor shall market and sell the Products only under the Trade Marks, and not in association with any other trade mark, brand or trade name, except as
permitted in any branding manual issued by EVG. The Distributor shall ensure that the appropriate Trade Marks shall appear on all Products, containers and
advertisements for the Products as appropriate. 除在****发布的品牌管理手册中授权外，分销商只能使用本商标营销并销售产品，且不得与其他任何商标、品牌或商号联合使用。分销商应当确保在所有产品、包装物和产品的广告中显示商标。
The Distributor shall comply with all rules for the use of the Trade Marks issued by EVG (including those set out in any branding manual issued by EVG) and shall not, without the prior written consent of EVG, alter or make any addition to the labelling

or packaging of the Products displaying the Trade Marks. The Distributor shall not alter, deface or remove any reference to the Trade Marks, any reference to EVG or any other name displayed on the Products or their packaging or labelling. 分销商应遵守****发出的所有商标使用规定（包括在****的品牌管理手册中确立的规定），且不得在未取得****书面同意的情况下，改动或增加显示商标的产品标签或包装的任何内容。分销商不得擅自改动、污损或去除在产品及其标签或包装上显示的任何提及商标或****的图文内容，以及任何其他名字。

The Distributor shall not sub-license, transfer or otherwise deal with the rights of use of the Trade Marks granted under this agreement. 分销商不得授权使用、转让或以其他方式处分本协议所授予的商标使用权。
The Distributor shall not do, or omit to do, anything in its use of the Trade Marks that could adversely affect their validity or reputation. 分销商在使用商标过程中不得从事任何行为或通过消极不作为来损害商标的有效性和名誉。
The Distributor shall promptly on request enter into any further agreements with EVG necessary for the recording, registration or safeguarding of EVG's Trade Mark rights for the marketing of the Products under the Trade Marks. 分销商应根据要求，及时与****签署进一步的必要协议以记录、登记或保护****使用商标进行产品营销的权利。

In respect of any matter that falls within clause 11.7(a): 对于任何属于第11.7(a)条范围内的事项：

EVG alone is responsible for the registration and maintenance of any marks or designs that relate to the Products. Distributor shall not use the Trade Marks as part of the name under which Distributor conducts its business, or any connected business, or under which it sells or services any products (except the Products), or in any other way, except as expressly permitted hereunder. 除非获得明确授权，分销商不得将商标作为其经营活动或其他相关经营活动中所采用的商号的一部分，或者将商标用于其所销售的其他产品（除本产品外）。

During the Term, EVG shall maintain product liability, public liability and general liability insurance with a reputable insurer.在协议有效期内，****应当从一家信誉良好的保险商处购置产品责任、公共责任和一般责任保险。
The Distributor undertakes to maintain appropriate, up-to-date and accurate records to enable the immediate recall of any Products or batches of Products from the retail or wholesale markets. These records shall include records of deliveries to customers (including batch numbers, delivery date, name and address of customer, telephone number, fax number and e-mail address).分销商保证做好适当、及时、准确的记录以便于随时从零售或批发市场上发起任何产品或任何批次产品的召回。该记录包括向客户的交货记录（包括批号、交货日期、客户名称和地址、电话、传真、邮件地址）。
