13. 13.1
COMMENCEMENT, DURATION AND TERMINATION 起始、有效期间和终止 This agreement shall take effect on the Commencement Date and and shall continue in force for a term of three (3) years (\Initial Term\本协议自起始日起生效，并在3年内有效（“初始有效期”）。
Each Party agrees to, no less than two (2) months prior to the expiration of the Initial Term, discuss and negotiate with each other in good faith with the view to reaching an agreement to extend the Initial Term for successive period of twelve (12) months each (“Extended Term”) provided that this agreement has not already been terminated earlier in accordance with clause 13.4. below. 双方同意，在不迟于初始有效期届满前2个月时，若届时本协议未按照13.4条提前终止，双方应善意协商以达成将初始有效期延长12个月（“延长期”）的一致意见。
The Extended Term may be further renewed on the same principles set out in clause 13.2 provided that if either Party does not wish to discuss or negotiate further to
extend the Extended Term, it may give to the other Party no less than two (2) months notice in writing prior to the expiry of the Extended Term to notify it of its intention not to extend the Extended Term. 延长期可根据13.2条的原则继续延长。若任何一方不愿继续延长本协议，该方应当在不迟于延长期届满前2个月时书面通知另一方其不愿续展延长期的意图。

Without affecting any other rights or remedies to which EVG may be entitled,

commitment of a criminal offense or engaging in an unlawful business practice or any activity by the Distributor or its Affiliates that may in any way detrimentally affect the reputation of EVG or its Affiliates, or the Brands or the Products, or expose EVG or its

CONSEQUENCES OF TERMINATION 协议终止的法律后果
On termination or expiry of this agreement, the following clauses shall continue in force: clauses 10, 11, 14 and 15. 本协议终止或期满后，以下条款仍然有效：条款10、11、14和15。
Termination or expiry of this agreement shall not affect any rights, remedies,
obligations or liabilities of the Parties that have accrued up to the date of termination or expiry, including the right to claim damages in respect of any breach of the

Each Party undertakes that it shall not at any time during this agreement and for a period of two (2) years after termination of this agreement, disclose to any person any confidential information concerning the business, affairs, customers, clients or suppliers of the other Party or of any member of the other Party's Affiliates, except as provided by clause 15.2. 协议任何一方承诺不会在本协议有效期内及本协议终止后的2年内，向任何人披露任何与另一方或另一方的任何关联公司的业务、事务、顾客、客户或供应商有关的保密信息，条款15.2规定的除外。

Neither Party shall have any liability whatsoever to the other, or be deemed to be in default of this agreement as a result of any delay or failure in performing its
obligations hereunder to the extent that (and only for so long as) any such delay or

failure arises beyond the control of the Party including but not limited to, acts of God, acts or regulations of any government, including restrictions on export or
manufacturing of the Products, war or national emergency, accident, fire (each a \Force Majeure Event\guilty of contributory negligence and that it has taken all necessary steps to mitigate the effects of such Force Majeure. 任何一方对于其合理控制之外的任何原因造成的履行延误或履行不能，不应视为未按照本协议约定履行其义务，因此，不应向另一方负任何责任。这些合理控制之外的因素包括但不限于，天灾、任何政府法令，包括对产品的出口和制造的限制，战争或国家应急、事故、火灾（称为“不可抗力事件”）。只要遭受不可抗力的一方没有疏忽大意的过失，并且已经采取了一切必要的措施，以减轻不可抗力的影响。

ENTIRE AGREEMENT 完整的协议
This agreement constitutes the entire agreement between the Parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties,
representations and understandings between them, whether written or oral, relating to its subject matter. 本协议构成双方之间的全部协议，并取代和废止协议方之间所有先前的与本协议内容相关的协议、承诺、保证、担保、陈述和理解，无论是书面还是口头的。

VARIATION 修订
The Parties may negotiate in good faith to modify or supplement this agreement at any time to provide for any matters in relation to the appointment of the Distributor and the cooperation between the Parties. Failing agreement between the Parties on the contemplated modification or supplementation to this agreement through negotiation in good faith, the Parties may terminate in accordance to clause 13.4(a). 协议方可以在任何时间基于诚信原则，就分销商约定和协议方合作等事项，协商修改或补充本协议。未按照诚信原则通过协商对本协议进行修改或补充的，协议方可以按照条款13.4（a）终止本协议。
Subject to clause 4.5, no amendment or variation of this agreement shall be effective unless it is in writing and signed by the Parties (or their authorised representatives). 根据条款4.5，除非采用书面形式并经协议方（或其授权的代表）签字确认，任何对本协议的补充或修改都是无效的。
ASSIGNMENT AND OTHER DEALINGS 分配和其他处置
This agreement is personal to the Parties and neither Party shall assign, transfer, mortgage, charge, subcontract, declare a trust over or deal in any other manner with any of its rights and obligations under this agreement. 本协议对协议方具有专属性。任何一方不得分配、转让、抵押、索价、转包、信托或以任何其他方式处置其基于本协议的权利和义务。

20. FREEDOM TO CONTRACT 签约自由
The Parties declare that they each have the full right, power and authority to enter into this agreement and the execution and performance of this agreement will not conflict with or violate any other agreement or obligation binding on it. 协议方声明，其任何一方都有充分的权利、权力和权限签订本协议。本协议的签署和履行不会违反任何其他协议或其所承担的义务。
21. WAIVER 放弃权利
No failure or delay by a Party to exercise any right or remedy provided under this agreement or by law shall constitute a waiver of that or any other right or remedy, nor shall it preclude or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall preclude or restrict the further exercise of that or any other right or remedy. 未按照本协议约定或法律规定或延迟行使本协议项下的权利和救济并不构成放弃该权利或其他权利或救济，同时也不排除或限制进一步行使该项权利或其他权利或救济。单一或部分行使该项权利或救济，并不排除或限制进一步行使任何其他权利或救济。
22. SEVERANCE 条款的独立性
If any provision or part-provision of this agreement is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant
provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of this agreement. 如果本协议的任何条款或条款任何部分无效或变得无效、非法或不可执行，应当视为有必要作最低限度的修改，以使其有效、合法和可执行。如果这样的修改是不可能的，有关条款或条款的有关部分应视为已删除。根据本条款规定对任何条款或条款的一部分作出的修改或删除，不影响本协议的其余部分的有效性和可执行性。

NOTICES通知
Any notice given to a Party under or in connection with this contract shall be in writing and shall be: 基于本协议或与本协议相关的对另一方发出的任何通知必须采用书面形式，并且应选择下列方式之一：

delivered by hand or by post or other next working day delivery service at its addresses specified in this agreement or the latest

sent by fax to its main fax number, and 以传真的方式发送至主要传真号码；或者
