Both Parties shall work on Integrity Cooperation. All forms of expression or suggestion conducted by the Seller for banquets, gifts, money, benefits or profits from the Buyer shall be prohibited.
The Buyer shall not provide private benefits, commit bribery or offer improper business banquets to the Seller in any means. Once verified, the Seller shall be entitled to unilaterally terminate the Contract under the occurrence of such improper business activities conducted by the Seller. The Buyer shall bear the liability of compensation for the loss of the Seller arising from termination. The Buyer shall take the liability for breach of Contract in the event of default as well. The Seller may reserve the right to take legal action necessary against the Buyer due to severity of offence. Nevertheless, the Buyer may reserve contractual rights and obligations related to above conducts, if the Buyer confesses those improper conducts proactively, or there is evidence that such conducts is forced or pressured by the Seller side. If the Integrity Clause is violated by the Seller personnel, the Buyer could report to the Seller as follows:

双方应廉洁合作。禁止卖方人员以任何方式明、暗示买方请吃、请喝、收受买方礼金、礼品或接受买方提供的其他私人便利或利益。
禁止买方以任何方式向卖方人员提供私人便利、行贿或进行非正常商务宴请。如果出现买方在履约过程进行私下请吃、向卖方人员提供私人便利、行贿等一切非正常的经济活动，一经查实，卖方有权单方解除合同，因解除相关合同给卖方造成损失的，由买方承担赔偿责任；同时，买方如有违约，仍须承担违约责任。买方的上述行为严重的，卖方保留追究法律责任的权利；如果买方事后主动积极向卖方陈述事实，或买方有证据显示以上行为为卖方人员施压的不得已行为，则买方仍保留与上述行为相关的合同的权利和义务。
