进入20世纪90年代以来,伴随着经济全球化进程不断深化、中国对外开放程度的扩大以及对外国直接投资的鼓励程度不断增加,越来越多的跨国公司开始将目光投向了中国。特别是进入21世纪以来,跨国公司在中国的扩张行为正呈现出愈演愈烈之势。2008年世界投资报告认为,在新兴的全球企业市场中进行交易的跨国并购是推动最近外国直接投资增长的主要力量。2006年年全球并购金额达到9000亿美元,2007年这个数字被迅速刷新,己达44800多亿美元(马勇,2009),2008年跨国并购交易量6000多件,金额达到34200亿美元。
美国诺贝尔经济学奖获得者乔治.J.斯蒂格勒(Georoge.J.Stigler)说:“纵观世界上著名的大企业、大集团,几乎没有哪一家不是在某种程度上以某种方式,通过资本并购等资本运营手段而发展起来的,也几乎没有哪一家是完全通过内部积累发展起来的”。企业并购行为,往往被作为企业战略实施的重要组成部分,其实质是社会资源的重新配置。在全球近代经济发展历程中,企业并购一直是贯穿经济发展的管理活动。伴随着经济周期和产业成熟的进程,美国等西方国家先后掀起了五次大的并购浪潮。与此同时,伴随着我国市场经济的不断发展,我国的并购活动正以每年70%左右的速度高速增长,成为全球并购市场中的一个亮点。目前,我国已经加入了世界贸易组织,随着全球经济一体化和市场一体化的到来,中国企业将面临着更加激烈的竞争。而且,我国经济体制改革正进入攻坚阶段,需要进一步调整国有经济的布局和结构,深化国有企业改革,并购重组必然会发挥更加重要的作用。
