whether ILEC and ORIENT are to be partners in a joint venture, or ILEC is to be established as "a foreign owned entity" that by acquiring the assets of ORIENT (which to our understanding, is an exclusive entity); or else, ILEC and ORIENT are to stop the resultless discussion on the prospective cooperation and then develop in their own respective ways. It would be in the interest of both parties if this suspension could be settled as soon as possible. In consideration of the above, we ORIENT put forward following suggestions which one expected to be submitted to the Board of Directors of ILEC before its session on Feb. 5, 1998.
Undoubtedly, ILEC is our first choice as a would-be partner. However, if we should fail to establish joint venture with ILEC, we'll try to find other potential partners instead.
If so, instead of a partner, you might find us a rival of ILEC (at least on the Chinese market). After all, who would like to expect a strong and powerful rival on the world market? A nd what is more, both ILEC and ORIENT have projected the similar scheme for their respective future development.
After careful consideration and thorough comparison, we hold that it would be of the utmost benefit to both ILEC and ORIENT if the prospective joint venture (other than exclusive entity) should be established between our two parties. Our understanding of this concern is based on the following:

In accordance with the instructions contained in your memorandum of June 29, I have made a survey to determine the advisability of establishing a warehouse in Chicago.
The results of my investigation, as well as my conclusion and recommendations, are embodied in the accompanying report.
In addition to the careful study given to our markets in the Middle West, the report has sought to embody the thinking of our major competitors who recently announced similar plans for branch warehouse.
Although the bibliography included in this report is self-explanatory, special acknowledgment should be made to Mr. Benjamin Petty of the Sales Department for the market information he supplied. The Trade Publishing Company of Chicago was also very helpful.
